1. Acceptance of Terms
By accessing or using Uppload ("Uppload," "the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Uppload is a social media content management and publishing platform. The Service may allow users to create or optimize content, generate titles, descriptions, tags and hashtags, create clips, organize content, schedule posts, analyze content performance, and publish or upload content to supported third-party social media platforms.
3. Eligibility
You must be legally permitted to use the Service and any third-party platforms you connect to Uppload. You must also meet the minimum age requirements applicable to those services and your jurisdiction. If you use Uppload on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
4. Your Account
You are responsible for maintaining the confidentiality and security of your Uppload account and for activity occurring through your account. You agree to provide accurate information and to notify us if you become aware of unauthorized access or use. You are responsible for maintaining access to the email address, authentication method, and third-party accounts associated with your Uppload account.
5. Connected Social Media Accounts
Uppload may allow you to connect accounts from third-party platforms such as TikTok, Instagram, Facebook, Threads, YouTube, and other supported services. By connecting an account, you authorize Uppload to access and use information and permissions provided by that platform solely as necessary to provide features you request, such as account identification, content publishing, scheduling, account management, and analytics. You may disconnect supported accounts through Uppload or through the applicable third-party platform.
6. Third-Party Platform Terms
Your use of third-party platforms through Uppload remains subject to the terms, policies, community guidelines, developer requirements, and other rules of those platforms. Uppload is an independent service and is not endorsed by, sponsored by, or affiliated with TikTok, Meta, Instagram, Facebook, Threads, YouTube, Google, or other third-party platforms unless expressly stated otherwise.
7. TikTok Integration
When you connect a TikTok account, Uppload may use TikTok APIs and authorization services to provide supported functionality. Your use of TikTok through Uppload is also subject to TikTok's applicable terms, policies, and platform requirements. You are responsible for ensuring that content you publish to TikTok complies with TikTok's rules. Uppload does not control TikTok's services, approval processes, availability, moderation decisions, or changes to its APIs.
8. Your Content
You retain ownership of content you upload, create, store, edit, schedule, or publish through Uppload. You grant Uppload a limited, non-exclusive license to host, process, transmit, modify when requested, and otherwise handle your content only as reasonably necessary to operate, maintain, secure, and provide the Service. You represent that you have the rights and permissions necessary to use and publish the content you provide.
9. Publishing and Scheduling
Uppload may allow you to schedule or publish content to connected accounts. You are responsible for selecting the correct account, content, caption, publishing time, audience, and other settings before submitting or scheduling a post. Publishing may fail or be delayed because of third-party platform outages, API limitations, expired permissions, account restrictions, network failures, content processing, rate limits, or other circumstances outside Uppload's control.
10. Generated and AI-Assisted Content
Uppload may provide automated or AI-assisted features for generating or suggesting titles, descriptions, hashtags, tags, clips, captions, metadata, or other content. Generated results may contain errors or may not be appropriate for every platform or audience. You are responsible for reviewing generated content before using or publishing it. Uppload does not guarantee that generated content will increase views, engagement, followers, revenue, search rankings, or other performance.
11. Acceptable Use
You may not use Uppload to violate applicable law, infringe intellectual property or privacy rights, impersonate others, distribute malware, commit fraud, interfere with the Service, gain unauthorized access to systems or accounts, circumvent platform restrictions, abuse third-party APIs, or publish content that you do not have the right to distribute. You may not use Uppload in a manner that causes us or our users to violate the requirements of a connected platform.
12. Intellectual Property
Uppload and its software, branding, interface, design, features, documentation, and other proprietary materials are owned by Uppload or its licensors and are protected by applicable intellectual property laws. Except for rights expressly granted under these Terms, no rights to Uppload's intellectual property are transferred to you.
13. Subscriptions and Billing
Some Uppload features may require a paid subscription or other payment. Prices, included features, usage limits, and billing periods may vary by plan. Recurring subscriptions may renew automatically unless canceled before renewal. You are responsible for applicable charges and taxes. Refunds, when available, are subject to applicable law and the terms presented when you purchase the Service.
14. Service Availability
We may add, modify, suspend, limit, or discontinue features of Uppload. We do not guarantee uninterrupted availability of the Service or any integration. Third-party platforms may modify or discontinue APIs, permissions, features, or access requirements at any time, which may affect functionality within Uppload.
15. Account Suspension and Termination
You may stop using Uppload at any time. We may restrict, suspend, or terminate access when reasonably necessary to protect the Service, comply with law or third-party platform requirements, prevent abuse or security risks, address nonpayment, or respond to violations of these Terms. Where appropriate, we may provide notice or an opportunity to correct a violation.
16. Disclaimers
To the maximum extent permitted by applicable law, Uppload is provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee that a third-party platform will accept, publish, distribute, recommend, monetize, or retain content submitted through Uppload.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Uppload and its owners, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, content, followers, engagement, or business opportunities arising from or related to your use of the Service.
18. Changes to These Terms
We may update these Terms as Uppload changes or as required by law, security requirements, or third-party platform requirements. The updated Terms will be posted on this page with a revised effective date. Your continued use of Uppload after updated Terms become effective constitutes acceptance of those Terms where permitted by law.
19. Governing Law
These Terms are governed by applicable laws of the United States and the State of Texas, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise.
